Terms of Service

1. Introduction

Welcome to Suchas ("we," "our," or "us"). By creating an account, uploading content, or providing feedback on our platform (the "Service"), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree, do not use Suchas.

These Terms are governed by the laws of the Province of Ontario, Canada.

2. The Service

Suchas is a pre-launch validation platform that connects Creators (users who upload work) with Reviewers (users who provide feedback). We act as an intermediary venue to facilitate this exchange. We are not a publisher, studio, or agency.

3. User Accounts and Eligibility

  • You must be at least 18 years old to use the Service.
  • You are responsible for maintaining the security of your account credentials.
  • You agree to provide accurate information regarding your demographics and expertise to ensure accurate matching.

4. Intellectual Property (For Creators)

You retain 100% ownership of your work. By uploading a project (video, text, design, code, or audio) to Suchas, you grant us a limited, non-exclusive license to:

  • Host and display your work privately to matched Reviewers for the sole purpose of testing.
  • Process your work through our internal systems to generate analytics (e.g., sentiment analysis).

We will never sell, distribute, or make your work public without your explicit written consent.

5. Confidentiality and Non-Disclosure (For Reviewers)

This is the core condition of using Suchas. As a Reviewer, you acknowledge that the content you view is Confidential Information and often includes unreleased trade secrets. By accessing a project, you agree:

  • No Sharing: You will not download, screenshot, record, or distribute the content.
  • No Discussing: You will not discuss the unreleased concepts outside of the Suchas platform.
  • No Theft: You will not use the concepts, stories, or designs for your own commercial gain.

Violation of this section may result in immediate ban and legal action from the Creator. Suchas cooperates fully with Creators in the event of a verified IP leak.

6. Feedback and Reports

For Reviewers: You agree to provide honest, constructive, and respectful feedback. Abuse, harassment, or low-effort trolling will result in an immediate ban.

For Creators: You understand that feedback is subjective. Suchas does not guarantee that the feedback will be positive or that it will result in market success. We do not offer refunds based on your dissatisfaction with the opinion of a Reviewer.

7. Payments and Refunds

  • Some features of Suchas are paid. You agree to pay all fees associated with your chosen plan.
  • Unless otherwise stated, all fees are non-refundable.
  • If you are a Creator and we cannot find a match for your project within a reasonable timeframe, we may, at our discretion, offer a credit or refund.

8. Acceptable Use

You agree not to upload content that is:

  • Illegal, pornographic, or promotes hate speech.
  • Infringing on the copyright of others (e.g., uploading a movie you didn't make).
  • Malware or harmful code.

9. DISCLAIMER OF WARRANTIES ("AS IS")

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, SUCHAS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. LIMITATION OF LIABILITY

READ THIS CAREFULLY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUCHAS (AND ITS FOUNDERS, EMPLOYEES, AND AGENTS) SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS OR DATA).
  • ANY UNAUTHORIZED LEAK, DISTRIBUTION, OR THEFT OF YOUR CONTENT BY A REVIEWER OR THIRD PARTY. WHILE WE VET USERS AND ENFORCE RULES, WE CANNOT PHYSICALLY PREVENT A BAD ACTOR FROM BREAKING THE LAW. YOUR REMEDY IN SUCH A CASE IS AGAINST THE INDIVIDUAL OFFENDER, NOT THE PLATFORM.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO SUCHAS IN THE PAST 6 MONTHS.

11. Indemnification

You agree to indemnify and hold Suchas harmless from any claims, damages, or expenses arising from your violation of these Terms or your violation of any third-party rights (including copyright).

12. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.
